Terms of Service

These Terms of Service ("Terms") govern your use of Vigil Parish Management ("Vigil," "the Service"), operated by Vigil PMS LLC ("we," "us," or "our"), a company based in North Carolina. By using Vigil, you agree to these Terms.
1. Service Description
Vigil is a software-as-a-service (SaaS) platform designed for Orthodox Christian parish management. The Service provides tools for member directories, liturgical calendars, communication, scheduling, donation processing, sacramental record keeping, and related parish administration functions.
2. Account Registration and Responsibilities
To use Vigil, a parish administrator must create an account and register their parish. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring that users you invite to your parish have appropriate authorization
- Managing your parish's data in compliance with applicable laws
You must notify us immediately at dan@vigilpms.com if you become aware of any unauthorized access to your account.
3. Subscription and Billing
Vigil offers monthly subscription plans billed through Stripe. By subscribing, you agree to pay the applicable fees for your selected plan. Key billing terms:
- Subscriptions are billed monthly and renew automatically
- You may cancel your subscription at any time; access continues through the end of the current billing period
- We reserve the right to change pricing with 30 days' notice
- Refunds are handled on a case-by-case basis
4. Free Trial
New parishes receive a 14-day free trial with full access to the Service. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.
5. Acceptable Use
You agree not to use the Service to:
- Engage in any illegal activity or violate any applicable laws
- Send unsolicited bulk messages or spam
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to other parishes' data or our systems
- Interfere with or disrupt the Service or its infrastructure
- Use the Service for any purpose other than parish management
We reserve the right to suspend or terminate accounts that violate these acceptable use policies.
6. Data Ownership
Your parish owns its data. All member information, sacramental records, donation records, messages, and other content entered into Vigil by your parish remains the property of your parish. We do not claim ownership of your data.
You grant us a limited license to host, store, and process your data solely for the purpose of providing the Service. Upon termination, you may request an export of your data.
7. Service Availability
We strive to keep Vigil available and reliable, but we provide the Service on a best-effort basis. We do not guarantee any specific uptime percentage or service level agreement (SLA). The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
8. Termination
Either party may terminate the relationship at any time:
- By you: Cancel your subscription through your account settings or by contacting us. Your access continues through the end of the current billing period.
- By us: We may suspend or terminate your account for violation of these Terms, non-payment, or other reasonable cause, with notice when practicable.
Upon termination, you may request a copy of your data within 30 days. After 30 days, we may delete your data.
9. Limitation of Liability
To the maximum extent permitted by law, Vigil PMS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or interruption of service, arising out of or related to your use of the Service.
Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of North Carolina.
11. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
